Terms of Service

1. Service Description

TwilioBox ("the Addon") is a Google Workspace addon published by Makeinfo ("we", "us", or "our") that allows users to send SMS text messages directly from Google Sheets using the Twilio API. The Addon reads phone numbers and message content from your spreadsheet and dispatches SMS messages through your own Twilio account.

2. Acceptance of Terms

By installing or using the Addon, you ("User") agree to be bound by these Terms of Service. If you do not agree to these terms, do not install or use the Addon. These Terms apply to all users of the Addon, including users on the free tier and paid license holders.

3. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Addon solely for your internal business or personal purposes. You may not sublicense, sell, resell, or otherwise commercialize access to the Addon.

4. Twilio Account Requirement

The Addon requires you to have your own Twilio account and provide your Twilio API credentials (Account SID and Auth Token). You are solely responsible for:

• Maintaining your Twilio account in good standing.
• All charges incurred through the Twilio API for SMS messages sent via the Addon.
• Compliance with Twilio's Terms of Service and Acceptable Use Policy.
• Keeping your API credentials secure and confidential.

5. Acceptable Use

You agree to use the Addon only for lawful purposes. You must not:

• Send unsolicited or spam SMS messages in violation of applicable anti-spam laws.
• Send SMS messages without proper consent from recipients as required by the TCPA, GDPR, CASL, or other applicable data protection and communications laws.
• Use the Addon to send threatening, harassing, defamatory, or otherwise illegal content.
• Attempt to circumvent rate limits, quotas, or access controls.
• Reverse-engineer, decompile, or attempt to extract the source code of the Addon.
• Use automated scripts or bots to interact with the Addon outside of its intended functionality.
• Violate 10DLC registration requirements or carrier policies when sending messages in the United States.

6. SMS Compliance Responsibilities

You acknowledge that sending SMS messages is subject to various laws and regulations, including but not limited to:

• TCPA (Telephone Consumer Protection Act) — Requires prior express consent before sending marketing or promotional messages.
• 10DLC (10-Digit Long Code) Registration — US carriers require brand and campaign registration for A2P (Application-to-Person) messaging.
• CAN-SPAM Act — Applies to commercial messages and requires opt-out mechanisms.
• GDPR — Applies when sending messages to individuals in the European Union.

You are solely responsible for ensuring your use of the Addon complies with all applicable laws and regulations. Makeinfo does not provide legal advice and is not responsible for your compliance obligations.

7. User Responsibilities

• You are solely responsible for the data contained in your Google Sheets, including any personal data (phone numbers) you submit for SMS sending.
• You represent that you have the legal right to contact the phone numbers in your spreadsheet and that doing so complies with all applicable laws.
• You are responsible for obtaining any required consent from individuals to whom you send messages.
• You must keep your Google account and Twilio credentials secure and notify us immediately of any unauthorized use.

8. Service Availability

We provide the Addon on a best-effort basis. We do not guarantee uninterrupted or error-free service. The Addon may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. SMS delivery depends on Twilio's infrastructure and carrier networks, which are outside our control.

9. Accuracy of Delivery Status

Delivery status results (Sent, Failed, Pending) displayed in your spreadsheet are based on responses from the Twilio API and are informational only. Actual message delivery to the recipient's device depends on carrier networks, phone status, and other factors outside our control. We do not guarantee that all messages marked as "Sent" will be received by the intended recipient.

10. Limitations of Liability

To the maximum extent permitted by applicable law, Makeinfo and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Addon, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the amount you paid to us for the Addon in the twelve (12) months preceding the claim, or USD $50, whichever is greater.

Makeinfo is not liable for any Twilio API charges, SMS delivery failures, carrier filtering, or regulatory penalties arising from your use of the Addon.

11. No Warranty

The Addon is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Addon will meet your requirements or that its operation will be uninterrupted or error-free.

12. Termination

We reserve the right to suspend or terminate your access to the Addon at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law. You may terminate your use of the Addon at any time by uninstalling it from your Google account. Uninstalling the Addon revokes all OAuth permissions granted to the Addon.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction. 14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Addon after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using and uninstall the Addon.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Makeinfo with respect to the Addon and supersede all prior agreements and understandings, whether written or oral, relating to the Addon.
